Agreement to These Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you and WBN News Corp Inc.™ ("WBN," "we," "our," or "us"). They govern your access to and use of every WBN Platform, product, service, tool, and application — whether you are a casual visitor, a registered user, a subscriber, a publishing partner, or an enterprise client.

By accessing any WBN Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please stop using our Platforms immediately. If you are accessing a WBN Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms work alongside our Privacy Policy, which governs how we handle your personal information, and any supplementary terms that apply to specific products or services. Where a conflict exists between these Terms and a product-specific agreement, the product-specific agreement governs for that product.

If you are under the age of 18, or the age of majority in your jurisdiction, you may only use our Platforms with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

WBN News Corp Inc.™ is an AI-enabled global media and intelligence company. Our Platforms encompass a broad and growing range of products, and these Terms are designed to remain applicable as that range expands. Current and anticipated offerings include:

References to "Platforms" throughout these Terms apply to all of the above and to any products or services WBN develops in the future. Where a new product introduces terms materially different from those here, we will make those differences clear before you use that product.

Accessing Our Platforms

WBN grants you a limited, non-exclusive, non-transferable, revocable right to access and use our Platforms strictly in accordance with these Terms. This is a licence to use, not a transfer of ownership — nothing in these Terms gives you any rights to our Platforms beyond what is expressly stated here.

Availability

We work to keep our Platforms accessible and operational at all times, but we do not guarantee uninterrupted availability. Planned maintenance, infrastructure updates, technical failures, or events outside our reasonable control may affect access. WBN reserves the right to modify, suspend, or discontinue any Platform or feature at any time, with or without advance notice where operationally necessary. We will provide advance notice of significant changes wherever reasonably practicable.

Geographic Access

Our Platforms are accessible globally, but certain features, content, or services may not be available in all jurisdictions due to legal, regulatory, or operational reasons. It is your responsibility to ensure that your use of our Platforms complies with the laws of the jurisdiction in which you are located.

Suspension & Termination of Access

WBN reserves the right to suspend or permanently terminate your access to any or all Platforms if we determine, in our reasonable judgment, that you have violated these Terms, engaged in conduct harmful to WBN, other users, or third parties, or if we are required to do so by applicable law. Where possible, we will provide notice prior to termination. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, and liability limitations — will do so.

Accounts & Registration

Certain features of our Platforms require you to create a registered account. When you do, the following applies:

  • Accuracy. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. Providing false information is a breach of these Terms.
  • One account per person. Unless you are operating under an enterprise or organizational agreement that expressly permits otherwise, each individual may hold one personal account. Creating multiple accounts to circumvent restrictions is prohibited.
  • Your credentials are your responsibility. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that takes place under your account. Notify us immediately at legal@wbnn.news if you suspect unauthorized access.
  • No sharing. Account access is personal and non-transferable. You may not share your login credentials with others or permit third parties to access our Platforms through your account, except as expressly permitted by a written agreement with WBN.
  • Account closure. You may close your account at any time by contacting us. Closure does not immediately extinguish obligations you incurred prior to closure, including outstanding payment obligations.
Enterprise and organizational accounts are governed by a separate agreement between WBN and the contracting organization. Individual users operating under such an agreement should refer to that agreement alongside these Terms.

Subscriptions & Payments

WBN offers both free and paid tiers of access across its Platforms. Where you elect to subscribe to a paid service, the following terms apply.

Billing & Renewal

Paid subscriptions are billed on the cycle stated at the time of purchase — monthly, annually, or otherwise. Unless you cancel before the renewal date, your subscription will automatically renew at the then-current rate. We will provide advance notice of any price changes before they take effect on your account, giving you the opportunity to cancel if you do not wish to continue at the new rate.

Payment Processing

Payments are processed by our third-party payment providers. WBN does not store your payment card details. By subscribing, you authorize your chosen payment method to be charged on the billing cycle you select. You are responsible for ensuring your payment details remain valid and for any fees your financial institution may charge in connection with payments to WBN.

Cancellation

You may cancel a subscription at any time through your account settings or by contacting us at legal@wbnn.news. Cancellation takes effect at the end of the current billing period. We do not provide partial refunds for unused portions of a billing period unless required by applicable consumer protection law in your jurisdiction.

Refunds

Outside of cancellations governed by applicable consumer protection laws, WBN's general policy is that subscription fees are non-refundable. If you believe you have been billed in error, contact us promptly and we will investigate. Where a billing error is confirmed, we will make it right.

Free Trials

Where WBN offers a free trial of a paid subscription, the trial period and its conditions will be stated clearly at sign-up. At the end of the trial, your subscription will convert to a paid subscription at the stated rate unless you cancel before the trial expires.

Acceptable Use

Our Platforms are built to inform, connect, and empower. The following rules exist to protect that purpose, the integrity of our infrastructure, and the experience of every person who uses WBN.

✓ Permitted Use
  • Reading, researching, and sharing WBN content in accordance with our intellectual property terms
  • Using WBN intelligence tools for lawful personal, professional, and business research
  • Submitting content through authorized channels such as press releases, the Writers Network, and community features
  • Accessing the Platforms through any standard browser or our official applications
  • Interacting with WBN's AI tools and dashboards for their intended analytical and editorial purposes
  • Participating in WBN events, surveys, and community features in good faith
✕ Prohibited Use
  • Scraping, crawling, or harvesting WBN content, data, or user information by automated means without express written permission
  • Attempting to gain unauthorized access to any WBN system, account, or infrastructure
  • Reverse-engineering, decompiling, or attempting to extract source code from any WBN software or AI system
  • Using our Platforms to transmit spam, malware, or any content designed to deceive or harm
  • Impersonating WBN, its staff, or any other person or entity
  • Circumventing any access controls, paywalls, or authentication systems
  • Using WBN's AI tools or data outputs to build competing products without a written licence from WBN
  • Any use that violates applicable law, including laws governing defamation, privacy, intellectual property, and export controls
Violations of this section may result in immediate suspension or termination of access, removal of content, and where appropriate, referral to law enforcement authorities. WBN reserves the right to take any action necessary to protect the integrity of its Platforms and the safety of its users.

Intellectual Property

WBN News Corp Inc.™ owns or holds the licences for all intellectual property associated with our Platforms. This includes — but is not limited to — our editorial content, news articles, analysis, data outputs, AI models and their outputs, software, Cast OS™ and all named products and marks, interface designs, graphics, logos, trade names, and compilation rights in our databases and intelligence feeds.

Database Rights
Our intelligence feeds, signal indexes, and data compilations are proprietary. Extraction or systematic use without licence is prohibited.

AI Outputs
Content generated or synthesized by WBN's AI systems on our Platforms is owned by WBN. Personal use is permitted; commercial use requires a licence.
What You May Do
  • Read, view, and use WBN content for personal, non-commercial purposes
  • Share links to WBN content on social media or other platforms
  • Quote brief excerpts of WBN content for commentary, criticism, or news reporting, consistent with fair dealing principles, with attribution to WBN
  • Use WBN intelligence outputs for internal business research under a valid subscription
What You May Not Do
  • Republish, reproduce, or redistribute substantial portions of WBN content without written licence
  • Remove or alter any copyright, trade mark, or attribution notices from WBN content
  • Use WBN trade marks in a way that implies endorsement or affiliation without written consent
  • Use WBN data outputs or AI-generated content to train third-party AI models without a written licence

Content You Submit

Certain WBN Platforms — including the Writers Network, Community Platform, press release services, and event tools — allow you to submit, upload, or publish content. When you do, the following applies.

You Retain Ownership

You keep ownership of the content you create and submit. WBN does not claim ownership of your original work. However, by submitting content to our Platforms, you grant WBN a worldwide, royalty-free, non-exclusive licence to use, reproduce, publish, distribute, adapt, and display that content in connection with the operation of our Platforms and services, including for promotional purposes. This licence ends when you remove your content from our Platforms, except where content has already been distributed or archived.

Your Content, Your Responsibility

You are solely responsible for any content you submit and for ensuring that it does not violate the rights of any third party — including intellectual property rights, privacy rights, and rights of personality — and that it does not breach any applicable law. You represent and warrant that you hold all necessary rights to submit the content and to grant the licence described above.

Content Standards

Content you submit must not:

  • Be defamatory, fraudulent, misleading, or deceptive
  • Infringe the intellectual property, privacy, or other rights of any person
  • Contain malware, spam, or unauthorized advertising
  • Violate any applicable law or regulation
  • Harass, threaten, or harm any individual or group
WBN's Editorial Rights

WBN reserves the right to review, edit, decline to publish, or remove any submitted content at its discretion, without prior notice and without liability. This right applies to all content channels and does not constitute an obligation to review content before publication.

AI-Assisted Content & Intelligence Tools

WBN's Platforms incorporate artificial intelligence across editorial, analytical, and product functions — including SignalCast™ intelligence feeds, PromptCast™, TwinCast™, AI Edition, dashboards, and AI Agents. Use of these tools is subject to the following terms in addition to our broader AI governance commitments described in our Privacy Policy.

Nature of AI Outputs

AI-generated and AI-assisted content on our Platforms is produced using systems that, while designed and governed with care, can produce outputs that are incomplete, inaccurate, or contextually limited. WBN's AI outputs — including summaries, signals, intelligence reports, and generated text — are provided for informational purposes and should be assessed critically. They do not constitute professional advice of any kind, including legal, financial, investment, medical, or regulatory advice.

Reliance on AI Intelligence Outputs

Business intelligence, market signals, and analytics produced by WBN's AI tools are intended to support informed decision-making, not to replace it. WBN accepts no liability for decisions made in reliance on AI-generated outputs. You are responsible for independently verifying information before acting on it in any professional or commercial capacity.

Prohibited Use of AI Features
  • Using WBN AI tools to generate content intended to deceive, defame, or manipulate
  • Attempting to probe, reverse-engineer, or extract proprietary logic from WBN's AI systems
  • Using AI-generated outputs from WBN Platforms to train competing AI models without a written licence
  • Misrepresenting AI-generated content as independently authored human journalism

Third-Party Links & Services

Our Platforms may contain links to websites, services, tools, or content operated by third parties. These links are provided for your convenience and do not constitute an endorsement, sponsorship, or recommendation by WBN of those third parties or their content, products, or practices.

WBN has no control over, and accepts no responsibility for, the content, privacy practices, or terms of any third-party website or service you access through a link on our Platforms. When you leave our Platforms by following a third-party link, these Terms no longer apply and you are subject to the terms and policies of that third party. We encourage you to review those policies independently.

Where WBN integrates third-party tools or services directly into our Platforms — such as payment processors, authentication providers, or analytics platforms — those third parties operate under their own agreements with us and are bound by obligations consistent with our Privacy Policy. They are not parties to these Terms and you should not direct legal notices intended for WBN to them.

Disclaimers & No Warranties
Please read this section carefully. It describes important limits on what WBN warrants about our Platforms and their content.

WBN's Platforms and all content, data, tools, and outputs available through them are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, WBN expressly disclaims all warranties of any kind — whether express, implied, or statutory — including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted availability.

  • No warranty of accuracy. While WBN invests significantly in the quality of its editorial content and intelligence outputs, we do not warrant that any content, data, signal, or AI output on our Platforms is complete, accurate, current, or free from error. News, market data, and business intelligence are inherently time-sensitive and subject to change.
  • No professional advice. Nothing on our Platforms constitutes legal, financial, investment, tax, medical, or any other form of professional advice. WBN is a media and intelligence company, not a professional services provider. You should seek qualified professional advice before making decisions of consequence.
  • No warranty of availability. WBN does not warrant that our Platforms will be available without interruption, or that any defect will be corrected within a particular timeframe.
  • Consumer rights preserved. Nothing in this section limits or excludes rights you may have under applicable consumer protection legislation that cannot be lawfully excluded.

Limitation of Liability
Please read this section carefully. It limits WBN's financial liability to you in connection with your use of our Platforms.

To the fullest extent permitted by applicable law, WBN News Corp Inc.™, its affiliates, directors, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of — or inability to use — our Platforms, including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunity, or reputational harm, even if WBN has been advised of the possibility of such damages.

Where WBN's liability cannot be excluded entirely under applicable law, WBN's total aggregate liability to you for any claim arising out of or relating to these Terms or your use of our Platforms will not exceed the greater of:

  • The total subscription fees you paid to WBN in the twelve months immediately preceding the event giving rise to the claim; or
  • One hundred Canadian dollars (CAD $100.00) — where no fees have been paid or where you accessed our Platforms on a free basis.

These limitations apply to all claims, regardless of the legal theory under which they are brought — including contract, tort, negligence, statute, or otherwise. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent the law permits.

Indemnification

You agree to defend, indemnify, and hold harmless WBN News Corp Inc.™ and its affiliates, directors, officers, employees, and contractors from and against any claims, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or relating to your use of our Platforms in violation of these Terms, content you submit, or your violation of any applicable law or third-party rights.

Governing Law & Dispute Resolution
Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles that would require the application of any other jurisdiction's laws.

Informal Resolution First

Before initiating any formal dispute process, we ask that you contact us directly at legal@wbnn.news and give us a genuine opportunity to understand and address your concern. Most issues can be resolved quickly and without formal proceedings. We commit to responding to good-faith disputes in a timely and constructive manner.

Jurisdiction

Where a dispute cannot be resolved informally, you agree that the courts of the Province of Ontario, Canada, shall have exclusive jurisdiction over any claim arising out of or relating to these Terms or your use of our Platforms — subject to any mandatory local jurisdiction rights you may hold under the consumer protection laws of your jurisdiction that cannot be contractually displaced.

Class Action Waiver

To the extent permitted by applicable law, disputes must be brought on an individual basis. You and WBN each waive any right to bring claims as a plaintiff or class member in any class action, collective action, or representative proceeding. This waiver does not apply where prohibited by law.

Note for users in the European Union and United Kingdom: Nothing in this section affects your right to bring a claim in the courts of your country of residence or to rely on any mandatory consumer protection provisions of the law of your country that cannot be excluded by contract.

Changes to These Terms & Contact
How We Update These Terms

WBN reserves the right to modify these Terms at any time to reflect changes in our Platforms, our business practices, or applicable law. When we make material changes — those that meaningfully affect your rights or obligations — we will provide notice through our Platforms, by email to registered users, or by another appropriate channel, and we will update the "Last Updated" date at the top of this document.

Your continued use of our Platforms after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with an update, you should stop using our Platforms and, if applicable, cancel your subscription before the changes take effect. Archived versions of these Terms are available on request.

Entire Agreement

These Terms, together with our Privacy Policy and any product-specific agreements applicable to services you use, constitute the entire agreement between you and WBN concerning your use of our Platforms. They supersede all prior agreements, representations, and understandings relating to the same subject matter. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
